1. ACCEPTANCE OF TERMS

1.1 Agreement

By downloading, installing, accessing, or using the Frameshift mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and Frameshift LLC, a North Carolina limited liability company ("Frameshift LLC," "we," "us," or "our").

1.2 Eligibility

You must be at least 13 years old (or 16 in the EEA/UK) to use the App. By using the App, you represent and warrant that you meet the applicable minimum age requirement and have the legal capacity to enter into these Terms. If you are under 18, you represent that your parent or legal guardian has reviewed and agrees to these Terms on your behalf.

1.3 Modifications

We reserve the right to modify these Terms at any time. For material changes, we will require you to re-accept the updated Terms within the App before continuing to use the service. Your continued use of the App after accepting updated Terms constitutes agreement to the new Terms.

2. DESCRIPTION OF SERVICE

2.1 The App

Frameshift is a news aggregation and analysis application that provides:

• Curated news articles from various sources
• AI-generated analysis, narrative tracking, and frameshift detection
• Visualization of how stories evolve over time (timelines)
• Partisan perspective simulations
• Subscription-based premium features including URL analysis and vault access
• Push notifications for story updates

2.2 No Guarantee of Accuracy

THE CONTENT PROVIDED THROUGH THE APP, INCLUDING NEWS ARTICLES, AI-GENERATED ANALYSIS, NARRATIVE SUMMARIES, FRAMESHIFT DETECTION, TIMELINE DATA, AND PARTISAN PERSPECTIVE SIMULATIONS, IS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT. YOU SHOULD NOT RELY ON THE APP FOR MAKING ANY DECISIONS, INCLUDING BUT NOT LIMITED TO FINANCIAL, LEGAL, MEDICAL, OR POLITICAL DECISIONS.

2.3 Third-Party Content

The App aggregates and analyzes content from third-party news sources. We do not control, endorse, or assume responsibility for any third-party content. The views expressed in aggregated articles do not represent our views. Original article content remains the property of its original publishers.

2.4 AI-Generated Content

THE APP USES ARTIFICIAL INTELLIGENCE (INCLUDING OPENAI MODELS) TO GENERATE ANALYSIS, NARRATIVE SUMMARIES, TIMELINE NODES, FRAMESHIFT DETECTION, AND PARTISAN PERSPECTIVE SIMULATIONS. YOU ACKNOWLEDGE AND AGREE THAT:

• AI-generated content is NOT journalistic reporting and should not be treated as such
• AI analysis reflects patterns detected by machine learning models, not human editorial judgment
• Partisan perspective features ("Democrat interpretation" / "Republican interpretation") are AI-generated simulations intended to illustrate how different political viewpoints might frame a story; they are NOT endorsements of any political position by Frameshift LLC
• AI-generated content may contain errors, biases, hallucinations, or inaccuracies
• Frameshift LLC is not liable for any decisions, actions, or consequences resulting from reliance on AI-generated content
• AI models and their outputs may change over time without notice

3. USER ACCOUNTS AND DEVICES

3.1 Device-Based Accounts

The App uses a randomly generated device identifier (UUID) to create and manage your account. No personal information such as name, email, or password is required. You are responsible for maintaining the security of your device.

3.2 Account Restrictions

You may not:

• Share your account or subscription with others
• Use the App on more devices than permitted by your subscription
• Create multiple accounts to circumvent restrictions or rate limits
• Transfer or sell your account
• Use another user's device identifier

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, for any reason, without notice or liability, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse of the App, its APIs, or its services
• Circumventing rate limits or security measures
• Non-payment of subscription fees

4. SUBSCRIPTIONS AND PAYMENTS

4.1 Free and Premium Tiers

The App offers both free and premium subscription tiers. Premium features ("Frameshift Pro") consist of access to The Vault: the full historical archive of narrative timelines tracked by Frameshift, including stories the mainstream has moved on from, plus full-text search, filtering, and saga-graph exploration across that archive. All other features of the App — including the daily feed, pinning and tracking narratives, push notifications, and shareable cards — are available to free users.

4.2 Subscription Terms

• Subscriptions are billed through Apple App Store or Google Play Store as auto-renewable subscriptions
• Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the end of the current period
• Your Apple ID or Google account will be charged for renewal within 24 hours prior to the end of the current period
• Prices may change with reasonable notice; continued use after a price change constitutes acceptance
• No refunds for partial subscription periods except as required by applicable law
• Premium features and benefits may be updated, expanded, or modified over time with reasonable notice

4.3 Payment Processing

All payments are processed by Apple or Google through their respective app stores. We do not have access to your payment card details, billing address, or other financial information. Disputes regarding payments, billing, or refunds must be directed to Apple or Google.

4.4 Cancellation

You may cancel your subscription at any time through your device's subscription management settings (Apple: Settings > Apple ID > Subscriptions; Google: Play Store > Subscriptions). Cancellation takes effect at the end of the current billing period. You will retain access to premium features until the end of the paid period.

4.5 No Refunds

ALL SALES ARE FINAL. WE DO NOT PROVIDE REFUNDS FOR ANY SUBSCRIPTION FEES, EXCEPT AS REQUIRED BY APPLICABLE LAW. REFUND REQUESTS MUST BE DIRECTED TO APPLE APP STORE OR GOOGLE PLAY STORE ACCORDING TO THEIR RESPECTIVE REFUND POLICIES.

5. URL ANALYZER

5.1 Description

The URL Analyzer is a premium feature that allows you to submit article URLs for AI-powered analysis including bias detection, frameshift identification, and timeline context mapping.

5.2 User Responsibility

You are solely responsible for the URLs you submit. You agree not to submit URLs that:

• Link to illegal content
• Link to malware, phishing sites, or other harmful content
• Violate the intellectual property rights of others
• Contain personally identifiable information of third parties without their consent

5.3 Rate Limits

The URL Analyzer is subject to rate limits. Attempting to circumvent rate limits through any means (including creating multiple accounts) constitutes a violation of these Terms.

5.4 No Guarantee

Analysis results are generated by AI and are provided "as is." We do not guarantee the accuracy, completeness, or reliability of any URL analysis. Analyzed content may be processed by third-party AI services (see our Privacy Policy).

5.5 Availability

The URL Analyzer feature may be temporarily unavailable due to maintenance, rate limiting, or third-party service disruptions. We do not guarantee uninterrupted availability.

6. CONTENT SHARING

6.1 Share Feature

The App allows you to capture and share card images containing article summaries, analysis, and Frameshift branding.

6.2 Terms of Sharing

When you share content from the App:

• Shared content includes Frameshift LLC branding and must not be altered, cropped to remove branding, or modified in a misleading way
• You are solely responsible for how and where you share content
• Shared content is for personal, non-commercial use only
• You may not use shared content to misrepresent Frameshift LLC's views or analysis
• Frameshift LLC is not liable for how shared content is received, interpreted, or acted upon by third parties

7. PUSH NOTIFICATIONS

7.1 Consent

By enabling push notifications in the App, you consent to receive notifications on your device. You may enable or disable notifications at any time.

7.2 Types of Notifications

The App may send the following types of push notifications:

• Daily briefing updates
• Frameshift alerts (when significant narrative shifts are detected)
• Narrative resurrection alerts (when previously dormant stories resurface)

7.3 Opting Out

You may disable all push notifications or selectively control notification types through the App's Settings menu or your device's system notification settings.

7.4 Nature of Notifications

Push notifications from the App are informational in nature and are not commercial solicitations or advertisements.

8. NEWS AGGREGATION AND INTELLECTUAL PROPERTY

8.1 Our Intellectual Property

The App, including its design, features, code, graphics, AI-generated analysis, branding, and original content, is owned by Frameshift LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works without our express written permission.

8.2 Third-Party Content and Fair Use

The App aggregates, transforms, and analyzes news content from third-party publishers for purposes of commentary, criticism, and education. All original article content remains the property of its original publishers. We provide links to original sources for attribution. Our use of third-party content is transformative in nature.

8.3 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms. This license does not include the right to reproduce, distribute, or commercially exploit any content.

8.4 DMCA and Copyright Takedown

If you are a copyright holder and believe that content accessible through the App infringes your copyright, you may submit a takedown notice to: legal@frameshift.app. Your notice must include:

• Identification of the copyrighted work claimed to be infringed
• Identification of the material to be removed
• Your contact information
• A statement of good faith belief that the use is unauthorized
• A statement under penalty of perjury that the information is accurate
• Your physical or electronic signature

We will respond to valid takedown notices in accordance with the Digital Millennium Copyright Act (DMCA).

8.5 Feedback

Any feedback, suggestions, or ideas you provide regarding the App become the property of Frameshift LLC. We may use such feedback without compensation or attribution to you.

9. PROHIBITED CONDUCT

You agree not to:

• Use the App for any illegal purpose
• Violate any applicable laws or regulations
• Infringe on the intellectual property or other rights of others
• Attempt to gain unauthorized access to the App, its systems, or its APIs
• Interfere with or disrupt the App, servers, or networks
• Use automated systems (bots, scrapers, crawlers) to access the App or extract content
• Circumvent security measures, rate limits, or access restrictions
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App
• Use the App to distribute malware, viruses, or other harmful content
• Harass, abuse, threaten, or harm others
• Impersonate any person, entity, or Frameshift LLC representative
• Use the App for commercial purposes without written authorization
• Resell, redistribute, or republish App content (including AI-generated analysis)
• Remove or alter any proprietary notices, watermarks, or branding
• Submit URLs containing illegal, harmful, or malicious content through the URL Analyzer
• Attempt to circumvent the subscription paywall or access premium features without payment

10. DISCLAIMER OF WARRANTIES

10.1 "AS IS" Basis

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS OF CONTENT (INCLUDING AI-GENERATED CONTENT)
• UNINTERRUPTED OR ERROR-FREE SERVICE
• SECURITY OF DATA TRANSMISSION
• FREEDOM FROM VIRUSES OR HARMFUL COMPONENTS

10.2 No Guarantee of Availability

We do not guarantee that the App will be available at all times, in all locations, or on all devices. The App may be subject to delays, failures, or interruptions due to maintenance, server issues, third-party service disruptions, or circumstances beyond our control.

10.3 Content Disclaimer

WE DO NOT WARRANT THAT:

• Any content (including AI-generated analysis) is accurate, complete, current, or reliable
• The App will meet your requirements or expectations
• Any errors in content or functionality will be corrected
• AI analysis will be free from bias, hallucinations, or inaccuracies
• Third-party news sources aggregated by the App are accurate or trustworthy
• Timeline and frameshift data accurately represents the evolution of any news story

11. LIMITATION OF LIABILITY

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FRAMESHIFT LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM YOUR USE OF OR INABILITY TO USE THE APP
• DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT
• DAMAGES RESULTING FROM ANY CONTENT, AI-GENERATED ANALYSIS, OR THIRD-PARTY SERVICES
• DAMAGES RESULTING FROM ERRORS, OMISSIONS, OR INACCURACIES IN ANY CONTENT
• DAMAGES RESULTING FROM DECISIONS MADE BASED ON APP CONTENT OR ANALYSIS
• PERSONAL INJURY OR PROPERTY DAMAGE RELATED TO YOUR USE OF THE APP

11.2 Cap on Liability

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO YOUR USE OF THE APP SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY DOLLARS ($50 USD).

11.3 Essential Purpose

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY (WHETHER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Frameshift LLC and its members, managers, officers, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights (including intellectual property rights)
• Your violation of any applicable laws or regulations
• Any URLs you submit through the URL Analyzer
• Any content you share from the App
• Your sharing or distribution of AI-generated content from the App
• Any claim that your use of the App or its content caused damage to a third party
• Any reliance by you or third parties on content or analysis provided by the App

This indemnification obligation survives termination of these Terms and your use of the App.

13. DISPUTE RESOLUTION AND ARBITRATION

13.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@frameshift.app and attempt to resolve the dispute informally for at least thirty (30) days.

13.2 Binding Arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE APP SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION. YOU AND FRAMESHIFT LLC AGREE TO WAIVE THE RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.

13.3 Arbitration Rules

Arbitration shall be conducted by a single arbitrator under the Consumer Arbitration Rules of the American Arbitration Association (AAA). The arbitration shall take place in Durham County, North Carolina, USA, or at another mutually agreed location. For claims under $10,000, arbitration may be conducted entirely by telephone or online.

13.4 Class Action Waiver

YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING.

13.5 Exceptions

The following disputes are not subject to arbitration:

• Claims that may be brought in small claims court
• Claims for injunctive relief to prevent intellectual property infringement
• Claims by us to collect unpaid fees

13.6 Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@frameshift.app within thirty (30) days of first accepting these Terms. The notice must include your device identifier and a clear statement that you wish to opt out of arbitration.

14. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts located in Durham County, North Carolina.

15. TERMINATION

15.1 By You

You may terminate your use of the App at any time by deleting your account through the Settings menu and uninstalling the App.

15.2 By Us

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including breach of these Terms.

15.3 Effect of Termination

Upon termination:

• Your license to use the App immediately terminates
• You must cease all use of the App
• We may delete your account and all associated data
• Your subscription (if any) will not be automatically refunded; you must cancel through Apple or Google
• Provisions that by their nature should survive (including disclaimers, limitations of liability, indemnification, arbitration, and governing law) shall survive

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Frameshift LLC regarding the App and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

16.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may freely assign our rights and obligations under these Terms without restriction.

16.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights, except as expressly provided in Section 17 (Apple and Google Specific Terms).

16.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of governmental authorities, fire, floods, epidemics, pandemics, power outages, telecommunications failures, or third-party service disruptions.

16.7 Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations, including U.S. Export Administration Regulations.

16.8 Government Users

If you are a U.S. government user, the App is provided with "RESTRICTED RIGHTS" as defined in 48 C.F.R. 12.212 and related regulations.

17. APPLE AND GOOGLE SPECIFIC TERMS

17.1 Apple App Store

If you downloaded the App from the Apple App Store, you acknowledge and agree that:

• These Terms are between you and Frameshift LLC only, not Apple Inc.
• Apple has no obligation to provide maintenance, support, or warranty services for the App
• Apple is not responsible for addressing any claims by you or any third party relating to the App
• Apple is a third-party beneficiary of these Terms and has the right to enforce them against you
• In the event of a third-party intellectual property claim, Frameshift LLC (not Apple) is solely responsible for the investigation, defense, settlement, and discharge of such claim
• You represent that you are not located in a country subject to a U.S. Government embargo

17.2 Google Play Store

If you downloaded the App from Google Play, you acknowledge and agree that:

• These Terms are between you and Frameshift LLC only, not Google LLC
• Google has no obligation to provide maintenance, support, or warranty services for the App
• Google is not responsible for addressing any claims relating to the App
